RHUB COMMUNICATIONS TERMS OF SERVICE
These Terms and Conditions of Use apply for any of the service and associated software of GoMeetNow (GMN) or RHUB Communications, Inc (RHUB). You (User) agree to be bound by these terms and conditions.
All RHUB and GMN services are only available for Users over the age of thirteen (13).
The most recent versions of these Terms of Service are posted at
www.gomeetnow.com or www.rhubcom.com. RHUB may changes or revise these terms at any time at RHUB’s sole discretion.
This Agreement represents the legal agreement between the User and RHUB, for use of the RHUB services including the GoMeetNow.com service, the TurboMeet.com service, and/or other services provided by RHUB (“Services”). “User” refers to the person who registered either as an individual or on behalf of an organization and/or provided credit card or other payment methods for the use of Services to RHUB.
The User must agree to and accept these terms, if not, click the “Cancel” button and refrain from using, in any manner, the Services. Software associated with the Services may be protected by patent, copyright laws and other intellectual property laws and
treaties.
1. SERVICES. The Services are defined by the RHUB offering and RHUB may, and at its sole discretion, modify the Services without prior notice.
2. The USER IS RESPONSIBLE FOR ALL USER CONTENT.
In relating to use of the Service, the User is responsible for complying with all applicable laws: local, state, national and foreign. The User may not violate any applicable law or regulation nor post or transmit any materials that violate any applicable local law.
3. USE OF SERVICES
At its sole discretion, RHUB may change, suspend or discontinue the Services at any time, for any reason. RHUB reserves the right to refuse service to anyone for any reason at any time.
4. CHARGES.
User agree that RHUB may charge the User’s credit card or other payment method provided by the User and approved by RHUB (“User Account”) all amounts due and owing for the Services. This includes set-up fees. Service fees, subscription fees, or any other fee or charge associated with the use of the Services. Without prior notice, RHUB may change prices at any time.
If RHUB is unable to collect the fees owed to RHUB for the Services through User Account, RHUB may take any other steps it deems necessary to collect such fees. User will be responsible for all costs and expenses incurred by RHUB in connection with such collection activity, including collection fees, court costs and attorneys’ fees. User further agrees that RHUB may collect interest at the highest amount permitted by law on any amounts not paid when due.
5. NO COMMERCIAL USE AND PROPRIETARY RIGHTS.
User agrees to not "reverse engineer," change, modify, hack, make derivative works, exploit, or crack any portion of the Services for any purpose. This includes the purpose of storing, licensing, sublicensing, selling, reselling, copying, duplicating, reproducing, distributing or making available to any third party. User agrees to not "crawl" or "spider" or release any automated software or service to obtain information stored, saved or contained on any web page as part of the Service. User further agrees to not remove, deface or obscure any of RHUB's or its suppliers' copyright or trademark notices and/or legends or other proprietary notices on, incorporated therein, or associated with the Services.
6. PASSWORD AND ACCOUNT SECURITY
RHUB is not responsible for maintaining the security of the User username and password. It is the User’s responsibility to notify RHUB if the user believe that the username or password has been compromised or used in an unauthorized manner. RHUB assumes no responsibility, liability or obligations for any loss or damage to resulting from the User to fail to comply with the security of the username and/or password. The User must provide a name, a valid email address and other information necessary to register with the Service. The User agrees to provide true and accurate information to register with the Service. The User agrees not to impersonate any person or entity or a false identity or attempt to manipulate identifiers to mislead or disguise the origin of any information used to access the Services. RHUB reserves the right to terminate the User’s use of the Services upon the discovery that the information the User provided is not complete or accurate.
7. TERMINATION.
The User may terminate this Agreement by canceling the User credit card subscription and/or providing written notice to RHUB via e-mail to support@rhubcom.com. Such a termination will become effective on the last day of the term. In the event of termination, RHUB assumes no responsibility for canceling the automated subscription payment for the User account. If the User fails to comply with any provision of this Agreement, RHUB may terminate this Agreement immediately without notice. Sections 2 through 12, inclusive, shall survive any termination of this Agreement. Upon any termination of this Agreement, the User must discontinue any further use of the Services and destroy any copies of associated software with the User’s possession and control.
8. EXPORT RESTRICTIONS.
The User acknowledge that the Services, or portion thereof may be subject to the export control laws of the United States. The User agrees to not export, re-export, divert, transfer or disclose any portion of the Services or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.
9. INJUNCTIVE RELIEF.
The User acknowledges that any use of the Services contrary to this Agreement, or any transfer, sublicensing, copying or disclosure of technical information or materials related to the Services, may cause irreparable injury to RHUB, its affiliates, suppliers and any other party authorized by RHUB to resell, distribute, or promote the Services ("Resellers"), and under such circumstances RHUB, its affiliates, suppliers and Resellers will be entitled to equitable relief, without posting bond or other security, including, but not limited to, preliminary and permanent injunctive relief.
10. NO WARRANTIES.
THE USER UNDERSTANDS AND AGREES THAT THE SERVICES ARE PROVIDED "AS IS" AND RHUB, ITS AFFILIATES, SUPPLIERS AND RESELLERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. RHUB, ITS AFFILIATES, SUPPLIERS AND RESELLERS MAKE NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES, REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICES, REGARDING ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICES OR THAT THE SERVICES WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. USE OF THE SERVICES IS AT THE USER’S SOLE RISK. ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS AT THE USER’S OWN DISCRETION AND RISK. THE USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO THE USER RESULTING FROM THE USE OF THE SERVICES. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SERVICES REMAINS WITH THE USER.
The User agree to defend, indemnify, and hold harmless RHUB, its officers, directors, employees and its agents from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, made by any third party due to or resulting from use of the Service or the User’s violation of this Terms of Service. Without limiting the foregoing, the Services are not designed or licensed for use in hazardous environments requiring fail-safe controls, including without limitation operation of nuclear facilities, aircraft navigation/communication systems, air traffic control, and life support or weapons systems. Without limiting the generality of the foregoing, RHUB, its affiliates, suppliers and Resellers specifically disclaim any express or implied warranty of fitness for such purposes.
11. LIMITATION OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RHUB OR ITS AFFILIATES, SUPPLIERS OR RESELLERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS OR DAMAGE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES OR THE PROVISION OF OR FAILURE TO PROVIDE TECHNICAL OR OTHER SUPPORT SERVICES, WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE) CONTRACT OR ANY OTHER LEGAL THEORY, EVEN IF RHUB, ITS AFFILIATES, SUPPLIERS OR RESELLERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, RHUB'S, ITS AFFILIATES’, SUPPLIERS’ AND RESELLERS’ MAXIMUM CUMULATIVE LIABILITY AND THE USER’S EXCLUSIVE REMEDY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY THE USER FOR THE SERVICES (IF ANY) IN THE PREVIOUS 12 MONTHS. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to some Users.
12. MISCELLANEOUS
The failure of RHUB to enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service apply to the User and may not be transferred, assigned or delegated to anyone without the express written permission of RHUB. Any attempt by the User to assign, transfer or delegate these Terms of Service without the express written permission of RHUB shall be null and void. These Terms of Service shall be governed by the law of California, USA, without regard to its conflicts of law provisions. These Terms of Service comprise the entire agreement between the User and RHUB with respect to the use of the Service and supersedes all prior agreements between the parties regarding the subject matter contained herein (including any prior versions of the Terms of Service).
